Terms of Service

Plain-language terms for using CookieCal. We've tried to make these readable — not deliberately confusing.

Plain-language summary: These terms are a contract between you (the parent or teacher) and CookieCal. Children cannot enter contracts and are not the contracting party — you are. Read the subscription, cancellation, and liability sections carefully. The AI disclaimer in Section 5 is important for academic use.

1. Acceptance of Terms

By creating an account, accessing, or using the CookieCal service ("Service") — including our website at cookiecal.com, our web application, and our mobile application — you ("you" or "User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and CookieCal. We may update these Terms from time to time (see Section 16.3). Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

2. Eligibility & Age Requirements

The adult is the contracting party. Children cannot enter legally binding contracts. If you are setting up CookieCal for a child, you — the parent or guardian — are entering into this agreement on their behalf and are responsible for their use of the Service.

2.1 Parent & Guardian Accounts

To create a Parent or Guardian account, you must be at least 18 years old and have legal authority to enter into this agreement. By creating a child profile within your account, you represent that you are the parent or legal guardian of that child and have the authority to consent to data collection on their behalf.

2.2 Teacher & Educator Accounts

To create a Teacher or Educator account, you must be at least 18 years old and have appropriate authorization from your school or district to use educational software tools with students.

2.3 Child / Kid Accounts

Child accounts may only be created by a parent or guardian (not by the child themselves). Children using the Service do so under their parent or guardian's account and subject to the parent's agreement with these Terms. The parent is responsible for the child's use of the Service.

2.4 Caretaker Accounts

Caretakers (tutors, nannies, co-parents, etc.) may be invited by a parent account holder. Caretakers must be at least 18 years old. By accepting a caretaker invitation, you agree to be bound by these Terms and to use your access only as permitted by the inviting parent.

3. Accounts & Access

3.1 Account Creation

You are responsible for providing accurate information when creating your account and for keeping your account credentials secure. You are responsible for all activity that occurs under your account.

3.2 Account Security

You must notify us immediately at hello@cookiecal.com if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account credentials.

3.3 One Account Per Family

Family subscriptions are for a single family unit. You may not share a subscription account across unrelated households. Each account is for personal, non-commercial family or educational use.

4. Subscription, Billing & Cancellation

4.1 Free Tier

CookieCal offers a free "Starter" tier with limited features (one child profile, core task management, the pet system). The free tier does not require a credit card and has no time limit.

4.2 Free Trial

New accounts may access a 14-day free trial of the paid Family tier. No payment method is required during the trial. At the end of the trial, if no payment method is added, the account automatically drops to the free Starter tier — it is not cancelled, and no charges are made.

4.3 Paid Subscriptions

Paid subscriptions (currently "Plus," "Family," and "Unlimited" tiers) are billed monthly or annually, as selected at checkout, through our payment processor Stripe. Prices are displayed at cookiecal.com/pricing and in the checkout flow.

4.4 Billing Cycle & Renewal

Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current subscription price. You will receive an email reminder before annual subscriptions renew. By subscribing, you authorize CookieCal to charge your payment method on a recurring basis until you cancel.

4.5 Cancellation

You may cancel your subscription at any time through the billing management portal accessible from Settings → Billing. Cancellations take effect at the end of the current paid billing period — you retain access to paid features until then. After cancellation, your account drops to the free Starter tier and your data is retained (not deleted). You can reactivate a paid subscription at any time.

4.6 Refunds

Monthly subscriptions: We offer a pro-rated refund for the unused portion of the current month if requested within 7 days of a billing event and you have not used the premium features during that period. After 7 days, no refunds are issued for the current billing period.

Annual subscriptions: We offer a pro-rated refund for the unused months of your annual subscription if requested within 14 days of the annual renewal charge. After 14 days, refunds are at our discretion.

4.7 Price Changes

We may change subscription prices with at least 30 days' advance notice via email. If you do not wish to continue at the new price, you may cancel before the price change takes effect.

4.8 No Real Money in the App

"Cookies," "coins," and other in-app rewards are tracking tokens only. They have no monetary value, cannot be transferred out of the app, cannot be redeemed for real money or goods, and do not constitute a currency, commodity, or financial instrument of any kind.

5. AI Features Disclaimer

Important: AI-generated responses may be inaccurate, outdated, or incomplete. CookieCal AI features are supplementary educational tools only — not replacements for qualified teachers, tutors, therapists, doctors, or other professionals.

5.1 Nature of AI Responses

The AI Pet Chat companion, AI Tutor, and AI Schedule Assistant use large language models to generate responses. These models can and do make mistakes. Responses should not be treated as authoritative, final, or professionally verified.

5.2 Educational Use Limitations

The AI Tutor is designed to support — not replace — real educational instruction. CookieCal AI should not be the sole source relied upon for:

  • Graded academic work or assignments submitted to teachers or institutions
  • Test preparation that will determine academic placement or advancement
  • Medical, psychological, therapeutic, or clinical guidance
  • Legal advice
  • Safety-critical decisions

5.3 Parental Supervision of AI Chat

All AI Pet Chat conversations are visible to the linked parent account. Parents are responsible for monitoring AI interactions and for deciding whether and how their child uses AI features. CookieCal's AI is designed to be age-appropriate, but parents should review conversations and disable AI features if they do not wish their child to have access.

5.4 No Liability for AI Content

To the maximum extent permitted by law, CookieCal is not liable for any harm, academic consequences, or decisions made in reliance on AI-generated content within the Service.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Upload, transmit, or share any content that is illegal, abusive, threatening, harassing, defamatory, obscene, or harmful to children
  • Upload CSAM (child sexual abuse material) — we are legally required to report this to NCMEC and law enforcement immediately
  • Attempt to access another user's data without authorization
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to scrape, harvest, or collect data from other users
  • Use the Service for commercial purposes without our written consent (e.g., reselling accounts)
  • Interfere with or disrupt the integrity or performance of the Service
  • Impersonate another person or provide false information to create accounts
  • Use the Service in any way that violates applicable laws or regulations

Violations of this policy may result in immediate account suspension or termination (see Section 15).

7. Your Content

7.1 Ownership

You retain ownership of content you upload to CookieCal (photos, journal entries, task data, etc.). By uploading content, you grant CookieCal a limited, non-exclusive, royalty-free license to store and display that content solely for the purpose of providing the Service to you and your family.

7.2 Content Responsibility

You are responsible for all content uploaded under your account. You represent that you have the right to upload any content you submit and that doing so does not violate any third party's rights.

7.3 No Marketing Use

We do not use your content (photos, journal entries, chat messages) for marketing, advertising, or any purpose beyond providing the Service. We will never use photos of your children in marketing materials without explicit, written consent.

8. Content Moderation

CookieCal uses automated content moderation on uploaded images and AI-generated chat content to protect children from harmful content. Our moderation system:

  • Scans uploaded images for inappropriate or illegal content
  • Generates safety alerts to the parent account when concerning patterns are detected in chat or journal content
  • Never shares moderation-flagged content with other users
  • Reports CSAM to NCMEC as required by federal law

Accounts that repeatedly violate our Acceptable Use Policy or upload harmful content may be suspended or terminated. We reserve the right to remove any content that violates these Terms or applicable law.

9. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to our Privacy Policy.

10. Intellectual Property

The CookieCal service — including our software, design, text, graphics, pet characters, animations, logos, and the "CookieCal" name and brand — is owned by CookieCal and protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant you any ownership rights in the Service. You may not copy, reproduce, distribute, or create derivative works from CookieCal content without our express written permission.

The virtual pet characters, animations, and visual design elements are proprietary and may not be extracted or reproduced outside the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." To the maximum extent permitted by applicable law, CookieCal disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

CookieCal does not warrant that:

  • The Service will be available at all times or without interruption
  • The Service will be error-free or that defects will be corrected
  • AI-generated content will be accurate, complete, or appropriate for any specific purpose
  • The Service is suitable as a substitute for professional educational, medical, therapeutic, or parenting services

CookieCal is a task management and organizational support tool. It is not a medical device, therapeutic service, clinical tool, or safety-critical system.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COOKIECAL'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

CookieCal is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

  • Loss of data or content
  • Loss of goodwill or reputation
  • Academic or educational consequences resulting from AI content
  • Emotional harm or distress
  • Any indirect consequence of schedule disruptions or task management failures

This limitation applies even if CookieCal has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless CookieCal and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service in violation of these Terms
  • Content you upload that infringes any third-party right or violates applicable law
  • Your misrepresentation of your eligibility or authority to use the Service (e.g., a non-parent claiming parental rights)

14. Dispute Resolution

14.1 Informal Resolution First

Before filing any formal claim, you agree to contact us at hello@cookiecal.com and give us 30 days to resolve the issue informally. Most issues can be resolved quickly through direct communication.

14.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. For users outside the United States, local mandatory consumer protection laws may also apply.

14.3 Dispute Resolution

For disputes that cannot be resolved informally, the parties agree to non-binding mediation before litigation. Either party may then pursue claims in small claims court or a court of competent jurisdiction in California if mediation is unsuccessful.

14.4 Class Action Waiver

To the extent permitted by applicable law, you waive any right to participate in class-action lawsuits or class-wide arbitration against CookieCal. This waiver does not apply where prohibited by law.

15. Termination

15.1 Termination by You

You may delete your account at any time through Settings → Account → Delete Account. Deletion permanently removes your data (see our Privacy Policy for retention details).

15.2 Termination by CookieCal

We may suspend or terminate your account immediately, without prior notice or liability, if you:

  • Violate these Terms or our Acceptable Use Policy
  • Upload CSAM or any illegal content
  • Use the Service to harass, threaten, or harm others
  • Engage in fraud or misrepresentation
  • Fail to pay applicable subscription fees

We will provide notice of termination to the account email address where reasonably practicable, except where immediate suspension is required to protect other users or comply with law.

15.3 Effect of Termination

Upon termination for cause, any pro-rated refund is at our discretion. Sections 6, 9, 10, 11, 12, 13, 14, and 16 survive termination.

16. General Provisions

16.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and CookieCal regarding the Service and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.

16.3 Updates to Terms

We may update these Terms with at least 30 days' notice for material changes (via email and in-app notice). Your continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree to the updated Terms, stop using the Service and contact us to close your account.

16.4 Assignment

You may not assign your account or these Terms to any third party. CookieCal may assign these Terms in connection with a merger, acquisition, or sale of substantially all its assets, with notice to users.

16.5 Waiver

Failure by CookieCal to enforce any right or provision of these Terms is not a waiver of that right or provision.

16.6 No Professional Relationship

Nothing in these Terms creates any partnership, joint venture, employment, franchise, or agency relationship between you and CookieCal.
